Field Services Nationwide – Client Terms and Conditions Agreement

By creating a Client Profile on www.FieldServicesNerwork.com (hereinafter referred to as “FSN” or “the Platform”), you (“Client”) acknowledge, understand, and agree to abide by the following Terms and Conditions as a condition of your continued use of the FSN platform and related services.

1. Purpose of Agreement

This Agreement governs the relationship between the Client and FSN concerning the publication of work orders and the hiring of independent field technicians via the FSN platform. It also outlines the payment procedures, prohibited conduct, and applicable fees.

2. Contractor Hiring Policy

Clients are strictly prohibited from directly hiring, soliciting, or engaging field technicians whom they discovered through FSN for any services outside the FSN platform without prior written approval from FSN. Any such violation will result in:

  • Immediate and permanent deactivation of the Client’s FSN account.
  • Permanent ban from publishing any future work orders on the FSN platform.
  • Possible legal recourse for damages arising from the breach of this provision.
3. Payment Terms

All payments for work orders completed by FSN-assigned contractors must be made directly to Field Services Nationwide. Under no circumstances may Clients pay contractors directly. Payments must adhere to the following conditions:

  • Payment Due Date: All payments must be remitted within 30 calendar days of the associated work order being marked “Closed” or “Complete” on the platform.
  • Late Payment Consequences: Payments received beyond the 30-day window may result in:
    • Suspension or permanent deactivation of the Client account.
    • Ineligibility to publish new work orders.
    • Accrual of late fees or penalties as determined by FSN.
4. Platform Service Fee

All work orders published on FSN are subject to a platform service fee determined at the time of engagement between the FSN Admin Team and the Client. The following applies:

  • Standard Fee Range: 0% – 10% of the total work order value.
  • Maximum Fee Cap: No more than 18% under any circumstance.
  • All agreed-upon platform fees will be transparently communicated in writing before job publishing.
5. Prohibited Conduct

Clients may not:

  • Circumvent FSN’s communication or payment systems.
  • Publish fraudulent, speculative, or misrepresentative work orders.
  • Violate any local, state, or federal employment or tax laws.
  • Abuse the rating, review, or communication systems provided by FSN.

Violation of this section may result in:

  • Legal liability.
  • Immediate account termination.
  • Loss of access to the FSN platform, tools, and talent pool.
6. Indemnification Clause

The Client agrees to defend, indemnify, and hold harmless Field Services Nationwide, its officers, employees, agents, and affiliates from any and all claims, losses, liabilities, expenses, or damages (including attorneys’ fees) arising from:

  • Misuse of the platform.
  • Breach of this Agreement.
  • Any unauthorized use of FSN-sourced contractor relationships.
7. Modifications to Agreement

FSN reserves the right to modify, update, or amend these Terms and Conditions at any time without prior notice. All modifications shall be effective upon posting to the platform. Continued use of the Client account after changes constitutes acceptance of the revised Agreement.

8. Account Termination and Deactivation

FSN may, at its sole discretion, suspend or permanently deactivate a Client’s profile if:

  • The Client breaches any terms within this Agreement.
  • Payments are overdue beyond 30 days.
  • Direct hiring or solicitation of FSN contractors is discovered.

Clients whose accounts are deactivated for cause will not be eligible to re-register under the same or any alternate name without written consent from FSN.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Denver County, Colorado.

10. Acceptance of Terms

By checking the box below, you affirm that you have read, understood, and agreed to abide by all terms outlined in this Agreement. Your continued use of FSN services is contingent upon this acceptance.
